Terms and Conditions

Leadtym Technology Private Limited ("RewardTym", "Company", "we", "us") is a private limited company incorporated under the laws of India (CIN: U62099MH2024PTC427376), with its registered office at A321, Master Mind 4, Royal Palms, Goregaon (E), Mumbai, Maharashtra 400065, India.

References to "Publisher", "you" or "your" are to the person or entity who accepts these Terms and Conditions, creates an account, and uses the Services. You and RewardTym are together referred to as the "Parties" and individually as a "Party".

RewardTym operates an offerwall platform that enables users of a Publisher's application or website to earn virtual currency or rewards by completing offers made available by advertisers.

Our offers and advertisers are selected to ensure your users engage with legitimate merchants. We expect the same fairness in return. Please observe the rules below so we can continue to provide you with quality offers.

Please note:

1. 1.These Terms apply equally to all persons regardless of gender.
2. 2.These Terms apply to use of the Platform through any device or means of communication.
3. 3.Use of the Platform is intended for persons over the age of 18 with legal capacity.
4. 4.If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
5. 5.These Terms incorporate our Privacy Policy and any other policies published on the Platform.

1. 1.Browsing the Platform does not require registration. To become a Publisher you must register and create an Account.
2. 2.You agree to provide accurate and complete information during registration, not to impersonate any other person or entity, and to keep your details up to date. If you register on behalf of a company you confirm you have authority to bind it.
3. 3.We may require documents to verify your identity or the information you have provided.
4. 4.Your Account is subject to approval. Registration does not create an active Account. We review each application and may approve or reject it at our sole discretion, without providing reasons.
5. 5.You may not hold more than one Account without our prior written consent.
6. 6.You are responsible for keeping your credentials confidential and for all activity under your Account. Notify us immediately at rahul@rewardtym.online of any unauthorised use.
7. 7.We may refuse, suspend or terminate an Account at our sole discretion, including where false information has been provided, where the Platform is used for unlawful purposes, or where these Terms are breached.

1. 1.Publishers may use the Services to display Advertiser content within the Publisher Application.
2. 2.We may review and monitor your traffic in real time to identify Fraudulent Activity. This does not reduce your own full responsibility in this respect.
3. 3.Publishers found to have engaged in Fraudulent Activity will have their Account terminated and will not be compensated for fraudulent conversions.
4. 4.We may refuse to approve or may terminate a Publisher Application, including where it is incomplete, under construction, or has extremely limited audience; infringes third-party rights or breaches applicable law; contains Inappropriate Content; or promotes human trafficking, pornography, adult or mature content, illegal goods or services, drugs, narcotics or hallucinogens, weapons, illegal gambling, or content harmful to minors.
5. 5.Incentivised traffic. You must accurately declare whether your traffic is incentivised. Routing incentivised traffic to offers designated non-incentivised is a material breach of these Terms and grounds for immediate termination and forfeiture of Payouts.
6. 6.You must implement the offerwall using only the integration methods and URLs we provide, without modification.

By using the Services you represent and warrant that:

1. 1.You have read, understood and accept these Terms.
2. 2.You have full power and authority to accept these Terms and to perform your obligations under them.
3. 3.You own or are licensed to use the Publisher Application.
4. 4.You will not use the Services to promote Inappropriate Content.
5. 5.Your use of the Services complies with all applicable laws in your jurisdiction, including tax obligations.
6. 6.You will maintain the security and confidentiality of your Account credentials.
7. 7.You will provide accurate documents and information on request. Providing false documents constitutes Fraudulent Activity.
8. 8.You will not infringe our or any third party's intellectual property or privacy rights.
9. 9.You will maintain and comply with a Privacy Policy that meets all applicable laws regarding collection, use and transfer of User Data, including cookie consent where required. Failure to do so is a material breach.
10. 10.You will not introduce viruses, malicious code, or any device intended to impair our systems or collect data without authorisation.
11. 11.You are solely responsible for the operation, maintenance and content of the Publisher Application.
12. 12.You comply with all applicable app store policies, including those of Google Play and the Apple App Store.
13. 13.It is your sole responsibility to prevent Fraudulent Activity within the Publisher Application. Failure is a material breach and entitles us to charge back Payouts and terminate your Account immediately.
14. 14.Your Publisher Application does not contain spam of any kind.

1. 1.Payouts are made within 30 days after the end of each calendar month, for Conversions occurring in that month.
2. 2.You will provide a valid invoice.
3. 3.Payouts are made in USD via Payoneer bank transfer.
4. 4.Minimum payout: any monthly Payout below $50 carries over to the following month.
5. 5.Reversals and chargebacks. We may deduct or charge back Payouts arising from Fraudulent Activity, or where an Advertiser reverses, rejects or scrubs a Conversion. Where a Payout has already been made in respect of a Conversion later reversed, the amount may be deducted from subsequent Payouts.
6. 6.Reporting recorded by RewardTym is the sole basis for calculating Payouts. Where your figures differ from ours, ours apply.
7. 7.It is your responsibility to determine, collect, report and remit any taxes applicable to amounts you earn. We are not obliged to determine, calculate, collect or remit taxes on your behalf.
8. 8.Except for the Payout, you are not entitled to any other payment, reimbursement, royalty or expense unless agreed in writing.

1. 1.For convenience. Either Party may terminate on thirty (30) days' written notice, without liability.
2. 2.For cause. We may suspend or terminate your Account where you breach these Terms and fail to remedy that breach within thirty (30) days of notice, where the breach is capable of remedy.
3. 3.We may terminate immediately and without notice on discovery of Fraudulent Activity, where we believe your activities may be unlawful, where we may suffer financial damage from your activities, or on your insolvency.
4. 4.Payment on termination. On termination we will pay any undisputed Payout due up to the date of termination, regardless of the minimum threshold. However, where Fraudulent Activity is documented in our logs, no past or future payments will be made and you forfeit any balance held.
5. 5.On termination you must return or destroy all Confidential Information and materials we provided.

1. 1.RewardTym retains sole and exclusive ownership of all rights in the Service, including software, data, documentation, know-how, methods and processes.
2. 2.Nothing in these Terms grants you any right in our intellectual property.
3. 3.You may not copy, imitate or modify any part of our intellectual property without our prior written consent.

You will indemnify RewardTym and its officers, directors, employees, affiliates and successors against all costs, claims, fines, damages and expenses arising from your failure, or that of your employees, agents or subcontractors, to comply with these Terms.

1. 1.The Services are provided on an "as is" and "as available" basis, without warranties of any kind.
2. 2.We do not warrant that the Services will be uninterrupted, error-free, or meet your expectations.
3. 3.We are not liable for any failure or delay resulting from circumstances beyond our reasonable control, including natural events, war, hostilities, cyber attack, or changes in law.
4. 4.We may carry out routine and emergency maintenance, giving as much notice as reasonably possible.
5. 5.To the fullest extent permitted by law, we are not liable for any indirect, special, incidental or consequential loss, including loss of revenue, profits, business, goodwill, data or anticipated savings.
6. 6.Our total liability, on any basis, will not exceed the total Payouts actually paid to you in the six (6) months preceding the claim.

Each Party will keep confidential the terms of this agreement, payout rates, reporting data, and any non-public information disclosed by the other Party, and will not disclose it to any third party without written consent. This clause survives termination.

1. 1.Each Party will comply with applicable data protection law, including the Digital Personal Data Protection Act, 2023.
2. 2.You must maintain a privacy policy accessible to your Users disclosing that third-party offerwall providers may collect data.
3. 3.We receive only the user identifier you pass to us. We do not require, and you must not send us, your users' names, email addresses or other personal information.

We may revise these Terms from time to time. Material changes will be notified by email or through the Dashboard at least 30 days before taking effect. Continued use after that date constitutes acceptance.

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat of arbitration will be Mumbai and the language will be English.

1. 1.Nothing in these Terms creates a partnership, joint venture, or employment relationship between the Parties.
2. 2.Headings are for convenience only and do not affect interpretation.
3. 3."Including" is not a word of limitation.
4. 4.We may change the structure, appearance and availability of the Platform without prior notice.
5. 5.We may cease providing the Services, in whole or in part, at our sole discretion.
